Constitution for the British Association for Contemporary Literary Studies.

  1. Aims of the Association
    • The aim of the British Association for Contemporary Literary Studies shall be:
      • To brings together scholars and practitioners in contemporary literary studies from across the UK and beyond in order to explore the current moment and its contexts;
      • To foster research at every level;
      • To support both practice and pedagogy in contemporary literary studies.
        • We understand contemporary literary studies in its broadest sense to include written, visual, performative and audible texts, in English and in other languages.
      • The Association will encourage local activity by its members which is consistent with the aims and objectives of the Association.
      • In furtherance of the aims above, the Association may:
        • collect and disseminate information on all matters pertaining to the field;
        • cause to be written and printed or otherwise reproduce and circulate such papers, books or documents, digitally or otherwise that further the aims of the Association;
        • Raise and seek funds and invite and receive contributions from any person or persons, or legally-constituted institutions, whatsoever by way of subscriptions or otherwise, provided that the Association shall not undertake permeant trading activity in raising funds for said aims.
      • The Association may seek to make links with such academic bodies, scholarly intuitions and societies or other bodies that further the aims of the Association.
      • The Association may do such other lawful things as are necessary in pursuance of said aims.
    • Membership of the Association shall be open to anyone with a bona fide interest in Contemporary Literary Studies
    • The Association is non-political
    • Policies shall not be accepted or adopted which would conflict with the Objectives of the Association as defined in 1 or would have the effect of the Association ceasing to be a charity at law (should the Association become one).
  1. Membership
    • Membership shall be open to all persons, of any nationality, interested in the aims of the Association.
    • Members shall pay the annual dues at the rate recommended by the executive committee and ratified by the Membership. Dues to be paid on the 1st January and are to be paid annually and cover only that calendar year.
    • Full-time students, those in part-time employment, unemployed and retired shall pay annual dues at a concessionary rate recommended by the Executive Committee and ratified by the Membership.
    • Membership lapses if the annual dues are not paid within four months of the date membership is due.
    • There shall be Honorary Members, normally expected to be those held in esteem in the field, nominated by the membership, recommended by the executive committee and ratified by the Membership. Honorary Members pay no dues and have no vote.
    • No person under the age of 18 years shall be entitled to serve as an Officer or Member of Council, or to vote in election.
    • The Membership Secretary shall present an updated Register of Membership to the Council for ratification every meeting. This Register will constitute the official List of Members.
  1. Executive Committee and Officers
    • The Association shall have a Committee of 16 members, including the Officers specified in 3.2, and six General Members elected from among the Members of the Association.
    • The Officers of the Association shall be: a Chair; a Vice-Chair; a Chair (elect); a Secretary; a Treasurer; a Communications and Web Administrator; a Publicity Officer; the Conference Organiser(s); two Graduate Student Representatives, who must be full- or part-time graduate students at a UK university, and must be graduate students or no more than one year after the recommendation of award of PhD.
    • The responsibilities of Officers and Members of the Executive Committee are set out in the appendix.
    • The Committee is responsible for ratifying the policy of the Association.
    • The quorum for Committee Meetings shall be two thirds of the Committee.
    • The Chair shall be elected in the year before they become Chair, and, as Chair (elect) shall serve ex officio on the Committee.
    • The officers shall be elected by the Annual General Meeting for a three year term of office, staggered to ensure that the terms of office do not conclude at the same time, except as noted 3.7.1 and 3.7.2 below.
      • The two Graduate Student Representatives will serve two years.
      • At the inauguration of the Association, the first Chair shall serve one year, the first Secretary two years; two General Members will serve one year, two two years and two three years; one Graduate Student Member will serve one year, to ensure this staggering.[i]
    • All officers, except the Chair and the Graduate Student Representatives, will be eligible for re-election to that post once only at the conclusion of each term of office. Any shall be eligible to stand for election to a post on a subsequent occasion; however a past Chair may not stand for Chair again, nor may past Graduate Student Representatives stand again for Graduate Student Representative.
    • The election to the Executive will take place at the Annual General Meeting.
      • At the inauguration of the Association, the election to the Committee may take place electronically and not at the AGM.
    • Council Members will be elected by ‘first past the post’ system.
    • In the event of lack of nomination for any position, the Chair is empowered to consult the Committee and nominate a willing incumbent or seek another willing to stand. The result of an uncontested election shall be declared at the same time as that of a contested election.
    • The Chair shall call a Committee Meeting at the request of five members, and shall convene one meeting a year in addition the AGM.
    • The Committee may appoint up to three additional Ordinary Members, above the 16 in 3.1, as it sees fit.
    • The Committee may from time to time set up and dissolve such Sub-Committees as it sees fit.
    • There shall be at least five men and five women on the Committee.
    • Should any elected officer resign or cease to fulfil their duties efficiently, the Committee is empowered to request their resignation from the Committee and co-opt a replacement until the next AGM, at which time the post will be open to election.
    • The Committee is responsible for supervising Association elections.
      • Elections for Officers and Members of Council shall be held every year at the AGM as posts fall vacant.
      • The Secretary shall receive nominations for the posts at least 24 hours before the AGM.
      • Members wishing to stand for election must be nominated and seconded by current Members of the Association.Members wishing to stand for election must, at the time of nomination and seconding, signify a willingness to fulfil the duties and obligations of the position to which they are elected.
      • Only a member whose name appears on a Membership List ratified by the Council three months prior to an election shall be entitled to stand for election or to vote in an election.
  1. General Meetings
    • The Association will hold an Annual General Meeting. Other General Meetings may be called at other times, at least once a year, with not less than one month’s written notice to all members, by the Executive Committee or by the Chair at the request of not less than 20% of the members.
    • An Agenda will be circulated to all Members at least four weeks before a General Meeting.
  1. Amendment of the Constitution
    • The General Meeting of the Association may amend the Constitution by a majority of two thirds of the members present and voting, provided that a quorum of twenty members be present, and that written notice of the amendment proposed has been given to all members not less than two months before the General Meeting.
  1. Dissolution
    • The Association may be dissolved by the agreement of not less than three quarters of those members present at a General Meeting specially summoned for this purpose, as provided in Clause 4 above. Any funds existing at the time of dissolution shall not become the property of any member or members but shall be devoted to furthering the aim defined in Clause 1.

Appendix

The officers of the Executive Committee and their functions are:

Chair:

The Chair will:

  • represent the Association as its public figurehead
  • chair GMs
  • call extraordinary GMs
  • be one of the authorised signatories of BACLS cheques
  • ensure the aims, objectives and constitution are adhered to so that there is no breach of standing orders and that there are no irregularities. Any decision in this role can be overturned by a majority of votes in the council, subject to appeal to an extraordinary GM

Vice-Chair:   

The Vice-Chair will:

  • deputize for Chair
  • be one of the authorised signatories of BACLS cheques

Chair (elect)

The Chair (elect) will:

  • attend with the duties of an Ordinary Member

Secretary:

The Secretary will:

  • act as convener of the Council Meetings
  • in consultation with chair, prepare and circulate the Agenda for Council Meetings and AGM
  • be responsible for the minuting and circulation of Council Meetings
  • be responsible for the receipt, copying and circulation of reports
  • be responsible for dealing with correspondence and external agencies

Treasurer:

The Treasurer will:

  • be an authorised signatory of BACLS cheques
  • be responsible for the control and maintenance of financial documentation and the reparation of accounts
  • be responsible for auditing arrangements
  • be responsible for the presentation of audited accounts to the AGM
  • be responsible for banking all monies
  • be responsible for paying all bills

Membership Secretary:

The Membership Secretary will:

  • deal with all membership matters and processes
  • receive fees and forward them to Treasurer
  • be responsible for updating a mailing listing of members and updating Membership List
  • present updated register to council for ratification every meeting

Communications & Web Administrator:

The Communications & Web Administrator will:

  • Be responsible for the website and for communications

The other officers (a Communications and Web Administrator, the Conference Organiser, a Publicity Officer) and Members of the Committee will have such duties as the Committee shall, from time to time see fit to delegate to them, in line with the aims and good running of the Association.
